DESCRIPTION

The Board’s primary role is governance. Governance involves policy and strategy development, and implementation oversight. Board Development is critical because most Board members come into their role without prior experience (or with varying degrees of knowledge and experience), and no two organizations are the same. This program provides best practice approach to developing an effective and high performing Governance Board. The Program is in two parts. Session One, focuses on Board formation and initial development while Session Two focuses on Board Functioning.

TRAINING OBJECTIVES

The key objectives of this program are to provide the knowledge and skills needed for developing a strong and effective Board, such that the Board is able to:

  • Shape organizational direction through mission and vision, governance policies, and effective strategy.
  • Ensure that leadership and management, organizational resources, and finances are appropriate and adequate for delivering the vision
  • Provide effective oversight of organizational performance and implementation of corrective action where performance is sub-optimal
  • Perform board member self-assessments to see if the board has the collective skills to reach the goals, and establish protocols for monitoring Board Performance

LEARNING OUTCOMES

After attending this training, participants should be able to:

  • Have a clear understanding of the role of the Board of Directors and boundaries with the role of Management
  • Understand the key principles of developing a Board Charter
  • Understand the roles and responsibilities of Board Members
  • Understand the key Committees of the Board and their roles and responsibilities
  • Develop Board by-laws by understanding the given framework and how to customize it to the their Board
  • Develop a Board Orientation Manual
